These terms govern your access to and use of Skeme, the AI orchestration platform operated by [Company legal name] (“Skeme”, “we”, “us”). Please read them carefully.

By creating an account, accessing the platform, or using it on behalf of an organization, you agree to these terms. If you are agreeing on behalf of an organization, you confirm you have authority to bind it, and “you” refers to that organization.

2. The Service

Skeme lets you design questionnaires and workflows, connect third-party systems, and orchestrate AI models across your organization's communication, automation, and data. We may add, change, or remove features as the product develops.

You must be at least 16 years old and provide accurate registration details. You are responsible for safeguarding your credentials and for all activity under your account, and must tell us promptly of any unauthorized use.

You retain all rights to the content you submit. You grant us a limited licence to host, process, and transmit it solely to operate the platform and provide support. You are responsible for having the rights and consents needed for the data you put into Skeme. Our handling of personal data is described in the Privacy Policy.

6. Intellectual Property

Skeme, including its software, design, and documentation, remains our property and that of our licensors. These terms grant you a non-exclusive, non-transferable right to use the platform during your subscription, and nothing more.

7. AI Output

Output produced by AI models through Skeme may be inaccurate, incomplete, or unsuitable for a given purpose, and similar output may be generated for other customers. You are responsible for reviewing output before relying on it, and must not present it as professional advice where a qualified human is required.

8. Third-Party Services

When you connect a third-party service, its own terms govern that service. We are not responsible for third-party systems, and their availability or behaviour may change without notice to us.

9. Fees and Billing

Paid plans are billed in advance on the cycle shown at purchase and are non-refundable except where required by law. Fees exclude taxes. We will give reasonable notice before a price change takes effect at your next renewal.

10. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these terms. This does not apply to information that is public, independently developed, or lawfully obtained elsewhere.

11. Disclaimers

The platform is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

12. Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability arising out of these terms is capped at the amounts you paid us in the twelve months before the event giving rise to the claim.

13. Indemnification

You will defend and indemnify us against third-party claims arising from your content, your use of the platform in breach of these terms, or your violation of law.

14. Suspension and Termination

You may stop using Skeme at any time. We may suspend or terminate access if you materially breach these terms, if required by law, or to protect the platform and its users. On termination you may export your content for 30 days, after which we may delete it.

15. Changes to the Terms

We may revise these terms as the platform changes. We will update the date above and notify account administrators of material changes. Continuing to use Skeme after a change takes effect means you accept the revised terms.

16. Governing Law

These terms are governed by the laws of [Governing jurisdiction], without regard to conflict-of-law rules, and the courts of that jurisdiction have exclusive authority over any dispute.
